Thomas R. Fazio

Of Counsel

THOMAS R. FAZIO “Tom” is a graduate of the City University of New York and Syracuse University. He has been practicing law since 1986. In addition to maintaining his private law practice, for approximately nine years, Tom was in-house counsel and vice president to a variety of secured commercial lenders with annual revenues in the billions of dollars. During that phase of his career, he put his years of experience as a litigator to good use both in negotiating and documenting transactions, and in enforcing those documents when necessary. He has been fully responsible for transactions up to $120,000,000.00.

Tom is meticulous in his planning for each matter that he takes on. Together with the client, he formulates a game plan designed to achieve the client’s most important objectives in the most time and cost-efficient manner. Always responsive, he, like all the attorneys in the firm, returns calls or other inquiries promptly.

Among the transactions Tom has shepherded to successful conclusion are financing the acquisition of a small chain of hospitals in California, funding and acquisition of a film production company, and combination debt/equity investments in technology, consumer products, electronics and other industries. In addition, he has been lead counsel in arranging private placements that have raised hundreds of millions of dollars in corporate financing, and has worked closely with clients to design the appropriate corporate structure, drafting all the necessary agreements, from Shareholder, Partnership and Operating Agreements to employment contracts.

Prior to his focus on complex business structures and financial transactions, Tom spent years as a general civil practitioner with a focus on litigation. He has successfully tried cases to verdict in areas ranging from breach of contract to personal injury.

Tom is admitted to practice in New York State as well as the Eastern District and Southern District Federal Courts, Bankruptcy Courts and the United States Supreme Courts.

As a member of the Speakers’ Bureau of the Nassau County Bar Association, Tom has given presentations on a wide range of topics. He is the Vice President/Treasurer and a member of the Scholarship Committee of The Shenandoah Fine Art Scholarship of New York, Inc., a non-profit art scholarship benefitting graduating seniors who are interested in continuing their studies in the arts. He has provided pro bono legal assistance to volunteers who helped in the clean-up effort after 9-11 and has served as a member and officer of the Flushing Community Volunteer Ambulance Corps in Queens.
